ARK ETF Trust filed a preliminary prospectus on November 6 for 14 new thematic exchange-traded funds, including one designed to invest in companies and instruments tied to tokenized markets.

The crypto-relevant proposal is the ARK Tokenized Market Infrastructure ETF. Its filing matters because it would package a broad tokenization theme—stablecoin issuers, exchanges, brokerages, custodians, settlement networks and public blockchain infrastructure—inside a registered, actively managed ETF. It is not, however, a spot crypto fund and it is not available for trading.

Swaps are central to the proposed strategy

Under normal circumstances, the fund would place at least 80% of its assets in investments consistent with its tokenized-market-infrastructure strategy. The SEC filing says the fund expects to obtain much of that exposure through total return swaps, while also permitting direct investments in public equities, private equity and restricted securities.

A total return swap is a contract under which payments track the return of a referenced asset rather than transferring ownership of that asset to the fund. Here, the possible references include equity securities and U.S.-listed exchange-traded products that provide exposure to network assets such as ether and solana.

That distinction is the filing’s most important limitation. The fund says it will not invest directly in digital assets or directly in the U.S.-listed crypto products its swaps may reference. Investors therefore would not own ether, solana or another token through the fund, and the proposal does not establish that ARK has chosen any particular crypto product, swap counterparty or portfolio holding.

The filing also allows U.S. government securities, money-market instruments and other short-term fixed-income holdings to count toward the 80% policy. That means the threshold should not be read as a promise that four-fifths of the portfolio will always consist of crypto companies or crypto-linked swaps.

The product remains incomplete

The November 6 document is a post-effective amendment to ARK ETF Trust’s registration statement and identifies itself as a preliminary prospectus. It proposes effectiveness 75 days after filing under Rule 485(a)(2), but effectiveness would not by itself establish a first trading day.

Several commercial terms remain blank. The filing does not provide a ticker, management-fee rate, total annual expense ratio, initial holdings or asset target. It lists Cboe BZX Exchange in brackets, another sign that the document can still change. The prospectus explicitly says securities cannot be sold until the registration statement becomes effective, and it states that the SEC has neither approved nor disapproved the products.

The tokenization fund would be non-diversified and says it would concentrate more than 25% of assets in issuers principally active in groups of industries within the financial or information-technology sectors. Those are proposed portfolio constraints, not current measurements: the fund has no operating history, holdings or performance record.

A fund about tokenization, not a tokenized fund

The name describes the investment theme. The filing does not say that shares of this ETF would themselves be issued, recorded or settled on a blockchain. That separates this proposal from products that tokenize fund shares or use distributed ledgers as the ownership record.

Investor.gov explains that registered ETFs pool assets, trade on exchanges and disclose their strategies, risks and fees through a prospectus. ARK’s filing supplies the proposed architecture, but key blanks prevent a complete cost or portfolio assessment.

The defensible conclusion on November 7 is narrow: ARK has proposed a registered thematic ETF that could combine tokenization-related equities with swap-based exposure referencing crypto products. It has not launched the fund, secured SEC approval, disclosed a final fee or committed to direct crypto ownership.
