Bitwise launched the Bitwise NEAR ETF for trading on NYSE Arca on September 29, turning a previously proposed product into a live U.S. exchange-traded route to the NEAR token. The fund, ticker NRR, holds NEAR directly and is designed to add staking rewards to its net asset value, subject to fees and operational risks.
The change matters because investors can now obtain NEAR exposure through ordinary brokerage accounts without holding the token or operating a validator. It also shifts the product’s relevant questions from regulatory readiness to actual trading liquidity, share creation, staking performance and tracking.
A spot product with a second objective
The fund’s SEC registration statement gives NRR two objectives. Its primary goal is exposure to the value of the NEAR it holds, after expenses and liabilities. Its secondary goal is to earn additional NEAR through staking, the process of committing tokens to support network validation in exchange for protocol rewards.
Bitwise’s launch announcement sets the annual management fee at 0.75%. The prospectus says the fee accrues daily and is payable in NEAR monthly, reducing net asset value. Staking rewards can offset some of that reduction, but they are neither fixed nor distributed as a conventional cash dividend. Bitwise says rewards accrue to shareholders through the fund’s per-share net asset value.
The issuer cited an approximately 5% annualized NEAR staking-reward rate as of September 25, based on official protocol metrics. That is a point-in-time annualized network-rate snapshot, not NRR’s realized return, and Bitwise explicitly says it does not represent or predict fund performance. Actual results can differ after the sponsor fee, validator charges, missed rewards, penalties, taxes and changes in the protocol rate.
Shares and tokens move through different markets
NRR shares trade on NYSE Arca, while the trust values its token holdings using the CME CF NEAR Protocol-Dollar Reference Rate, which aggregates eligible spot-market transactions under the benchmark’s methodology. Shareholders buy and sell at market prices, not directly at the fund’s calculated net asset value, so NRR can trade at a premium or discount.
The registration statement says authorized participants may create or redeem shares in blocks of 10,000, using either NEAR or cash under the available order process. Those transactions are intended to connect demand for shares with the underlying asset, but they do not guarantee that the share price will track NEAR perfectly. Retail holders cannot redeem individual shares with the trust for tokens.
Coinbase Custody Trust Company is listed as the NEAR custodian, while BNY Mellon provides administration, transfer-agent and cash-custody services. The arrangement separates custody and fund administration, but it does not eliminate counterparty, operational or digital-asset risks.
Staking adds return potential and constraints
The filing says the trust will stake some portion of its NEAR. Staked tokens may be less immediately available when the fund needs to meet redemptions, and the prospectus warns that staking can expose the trust to lost rewards, slashing penalties and operational uncertainty. Bitwise’s announcement likewise says rewards are not guaranteed and may change.
NRR is an exchange-traded product but is not registered as an investment company under the Investment Company Act of 1940. Consequently, shareholders do not receive the same statutory protections as investors in a fund registered under that law. The SEC’s September 24 effectiveness notice allowed the registration statement to become effective; it was not an endorsement of NEAR or a finding that the product is suitable for any investor.
NYSE Arca certified its approval for listing and registration on September 28, and Bitwise announced the launch the next day. Neither record establishes investor demand, first-day volume, assets gathered or the realized benefit of staking. Those are now the figures that will determine whether NRR becomes a meaningful access channel rather than merely another listed crypto product.
