Canton Strategic Holdings plans to make an issuer-authorized tokenized version of its Nasdaq-listed common stock available through TSV LLC as early as November 2, creating a near-term operational test of the Securities and Exchange Commission’s new pathway for onchain stock trading.
The company disclosed its agreement with TSV on October 29. However, TSV’s public notice still said the venue had not commenced operations and no assets were available for trading when checked on November 1. The announced date is therefore a target, not confirmation of a launch, completed trade or functioning liquidity pool.
The token would represent the company’s stock
Fairmint TA, an SEC-registered transfer agent engaged by Canton Strategic, is expected to issue the tokenized shares and maintain their official ownership record. TSV says the tokens must provide the same applicable economic and governance rights as the equivalent conventional shares, including dividend, voting and liquidation rights.
That issuer-sponsored structure distinguishes the planned CNTN instrument from a synthetic token that merely tracks a share price or from a third-party entitlement backed by stock held through an intermediary. Canton Strategic is authorizing the tokenization, while its transfer agent would control issuance, burning, ownership records and transfer restrictions.
The venue notice says one existing shareholder has elected to tokenize an unspecified number of shares. It does not identify that holder or disclose the number of shares, opening liquidity, market-maker commitments or expected trading volume. The plan would not create new primary-issued shares through TSV; the SEC order prohibits primary offerings under this exemption.
Trading would remain permissioned
TSV intends to offer the shares through automated market-maker pools using the Tradecraft protocol on the Canton Network. Initial paired assets are expected to include USDC and Brale’s SBC stablecoin on Canton.
Automated pools price trades from the quantities of assets deposited into them rather than from a conventional exchange order book. The SEC has warned that this mechanism can produce prices that diverge from the underlying stock, particularly when liquidity is limited or traditional markets are closed.
Prospective participants and their wallets must receive approval after identity and sanctions screening. Eligibility decisions occur offchain and are then enforced through onchain transfer restrictions. That architecture permits blockchain settlement but does not provide unrestricted or anonymous access.
The company describes the service as providing round-the-clock availability and atomic settlement, meaning the stock token and payment asset would transfer together or neither transfer would occur. Those are planned operating features, not measured results. Required trading halts, maintenance, risk controls and regulatory volume limits can interrupt availability.
Exemption is not platform approval
The SEC’s September 17 order conditionally exempts qualifying tokenized-securities venues from the statutory definition of an exchange and provides limited dealer relief for qualifying liquidity providers. TSV is relying on that framework rather than registering as a national securities exchange or alternative trading system for the exempt activity.
TSV’s own notice states that it is not SEC-registered for those activities, is not subject to Regulation NMS and does not have the fair-access obligations applicable to registered exchanges and certain alternative trading systems. It also says the Commission has not passed on the merits or accuracy of the venue’s disclosures.
Canton Strategic’s filing consequently establishes an agreement and intended structure, not regulatory certification or successful execution. The next verifiable milestones are an updated venue notice, evidence that the ownership-rights review is complete, the number of shares tokenized and attributable transaction data after trading actually begins.
