Evernorth Holdings began trading on Nasdaq under the ticker XRPN on October 12, completing its transition from a special-purpose acquisition company into a publicly listed XRP treasury business.

The debut converts last week’s expected timetable into an operating public-market structure. It also exposes a constraint that matters for investors assessing the listing: holders redeemed 80.3% of the SPAC shares eligible for redemption before the merger closed, according to Evernorth’s closing filing.

Evernorth says it entered the public market with approximately 473 million XRP and approximately $300 million in gross cash proceeds before transaction expenses. Those figures describe the company’s position at the October 9 closing, not its market capitalization, net asset value or the amount of cash remaining after costs.

Most SPAC investors chose cash

The merger with Armada Acquisition Corp. II closed on October 9. Nasdaq’s corporate-action notice made Evernorth’s Class A shares and warrants effective for the Nasdaq Global Market on October 12, while the predecessor securities were suspended and converted.

The SEC filing says owners of 18,463,753 Armada Class A shares exercised redemption rights at approximately $10.58 per share. The resulting cash withdrawal was approximately $195.39 million. The 80.3% rate measures only shares that carried redemption rights; it is not the percentage of all post-merger Evernorth shares.

High redemptions do not cancel a SPAC transaction when other closing conditions and financing are satisfied. They do, however, remove cash from the SPAC trust and reduce the block of predecessor public shares that rolls into the combined company. That distinction is important because Evernorth’s reported $300 million of gross cash proceeds includes transaction financing and is stated before expenses; it should not be read as the unreduced Armada trust balance.

Immediately after closing, Evernorth reported 22,268,905 Class A shares, 32,211,992 nonvoting Class C shares and 11,739,645 warrants outstanding. Each warrant is exercisable for one Class A share at $11.50, subject to its contractual terms. The share classes and warrants mean a simple comparison between quoted Class A shares and the XRP treasury would omit other claims and potential dilution.

XRP repricing changed the deal math

The closing filing identifies two XRP benchmarks used in the private-placement mechanics. The signing price was $2.36609. The closing price was $1.43069, defined as the arithmetic average of the CME CF XRP-Dollar Reference Rate—New York Variant at 4 p.m. New York on each of the three days immediately before October 9.

That is a decline of about 39.5%, calculated from the two disclosed benchmarks. It is a transaction-pricing comparison over those specified dates, not XRP’s return on October 12 and not a measurement of Evernorth’s trading performance.

The change affected how many shares some subscribers received. The filing says advance-funding investors obtained 10,123,015 Class A shares and 2,905,659 Class C shares in exchange for approximately $214.05 million in cash and 600,000 XRP. Other subscriptions delivered additional cash and XRP, including 211,319,096.061435 XRP from the sponsor.

Evernorth’s treasury therefore cannot be analyzed as if the company had bought its entire XRP position at one price on closing day. Tokens arrived through multiple contribution and subscription arrangements, while the company also carries cash, corporate obligations and a multi-class equity structure.

A listing is not an ETF

XRPN offers brokerage-account exposure to a company whose strategy centers on XRP, but it is not a spot XRP exchange-traded fund. Shareholders own Evernorth equity rather than a redeemable proportional claim on a fixed pool of tokens.

Management plans to deploy assets through institutional and decentralized-finance strategies intended to increase XRP per share. That objective introduces operating, counterparty, smart-contract, custody and execution risks beyond changes in XRP’s price. It also remains a plan rather than a demonstrated performance record.

The next useful disclosures will be the company’s post-closing balance sheet, transaction expenses, updated XRP holdings, any deployed yield strategies and the fully diluted share count. Until then, the listing establishes public access and a completed corporate structure, but not the value or durability of the strategy.
