Ripple said on October 24, 2025, that it had completed its $1.25 billion acquisition of Hidden Road and renamed the non-bank prime broker Ripple Prime. The close converted an agreement announced on April 8, 2025, into an owned operating business spanning digital assets, foreign exchange, derivatives, swaps and fixed income.

That mattered because the transaction was not simply a crypto-company investment or a token integration. Prime brokers provide institutions with clearing, financing, margin and consolidated access to markets. Ripple was buying regulated, credit-intensive market infrastructure that sits between trading firms and venues—an institutional bridge with obligations and risks very different from a blockchain application.

What the October 24 record establishes

Ripple’s October 24 statement says the acquisition was complete and Hidden Road had become Ripple Prime. Contemporaneous reporting independently repeated the close and rebrand. The $1.25 billion figure comes from Ripple’s April 8 acquisition announcement; the October 24 statement did not publish revised consideration or detailed closing terms.

The April agreement had been described as subject to regulatory approvals. Ripple’s closing notice did not identify each approval, publish the transaction documents or break down which Hidden Road legal entities changed control. The central event is therefore clear, while the surviving public record is less complete on the legal mechanics.

Ripple also said Hidden Road’s business had grown “3X” between the April 8 announcement and the October 24 close. That is a company-supplied claim, not a calculation Coinburn can reproduce: the statement did not define whether the metric was revenue, balances, client activity, clearing volume or another measure, and it supplied no audited starting or ending values.

Stablecoin collateral meets prime brokerage

Ripple said its dollar stablecoin, RLUSD, was already being used as collateral for a number of prime-brokerage products and that some derivatives customers had chosen to hold balances in RLUSD. Those statements showed a concrete intended connection between Ripple’s digital-asset products and the acquired brokerage, but they did not disclose the number of customers, collateral value, share of balances or measurement period.

The distinction is important. Accepting a stablecoin as collateral can connect round-the-clock digital-asset liquidity with financing and margin processes, but it also introduces reserve, issuer, liquidity, operational and concentration questions into a credit relationship. The acquisition did not remove counterparty risk merely because a blockchain or stablecoin was involved.

Ripple’s April announcement also said Hidden Road would migrate post-trade activity to the XRP Ledger. By October 24, the closing statement used future-oriented language about looking to use blockchain capabilities. The available event-day sources do not establish that a full migration had occurred. Nor does ownership of a prime broker, by itself, prove increased demand for XRP or explain any same-day token-price move.

Why the close mattered—and its limits

The strategic significance was vertical integration. Ripple already offered payments, custody and stablecoin infrastructure; Ripple Prime added institutional execution, clearing and financing. Inference: controlling more of that stack could let Ripple connect its products to institutional workflows faster, while placing more capital, governance and risk-management responsibility inside the group.

This reconstruction makes no market-return claim and uses no token-price series. It also treats Ripple’s customer, volume and growth descriptions as attributable company claims rather than independently measured market data.

Later verification

A FINRA BrokerCheck firm report retrieved on August 27, 2026, lists Hidden Road Partners CIV US LLC, CRD number 331954 and SEC number 8-71259, and identifies Ripple Prime as an alternate name. That later regulatory record corroborates the U.S. broker-dealer identity and rebrand, but it should not be read backward as a complete account of the acquisition’s October 24 closing conditions.
